1. Acceptance of Terms

By accessing and using the Binesty agronomy management platform ("Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Description of Service

Binesty is a distributed agronomy management platform that connects participants in the agricultural supply chain. The Platform provides:

For Producers: Production cycle management; field operations planning; inventory of inputs and assets; financial planning and cost tracking; harvest sales; direct orders; demand visibility; traceability; compliance records; insights and recommendations to optimize planting and operations; alerts and notifications; integration with logistics for deliveries.
For Consumers: Consumption planning; discovery and direct purchase from producers; order tracking; quality and traceability information; wishlists and demand publishing; notifications and status updates; secure payments; support for recurring purchases.

The Platform may also offer: document storage, analytics dashboards, auditing of operations, webhooks and integrations, API access, and data export features.

3. User Accounts and Registration

3.1. To use certain features of the Platform, you must create an account by providing accurate, current, and complete information.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You must immediately notify Binesty of any unauthorized use of your account or any other breach of security.

3.4. You must accept the current version of these Terms during registration and whenever a new version is published.

3.5. Account cancellation may be performed by you directly via the Platform or by contacting Binesty support. Upon cancellation, Binesty does not retain your personal data or account data; data related to your account will be deleted in accordance with Section 8 and applicable law.

4. User Obligations

4.1. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

4.2. You agree not to:

Provide false, misleading, or inaccurate information
Impersonate any person or entity
Interfere with or disrupt the Platform or servers
Use automated systems to access the Platform without authorization
Transmit any viruses, malware, or harmful code
Violate any applicable laws or regulations

4.3. You are responsible for all content you post, upload, or transmit through the Platform and for obtaining necessary consents and rights to use such content.

4.4. You must comply with applicable agricultural, environmental, consumer protection, and data protection regulations.

5. Agricultural Data and Information

5.1. The Platform allows you to manage agricultural data including production cycles, fields, planting activities, harvests, orders, demands, inventories, logistics data, and financial information.

5.2. You retain ownership of all data you provide to the Platform.

5.3. By using the Platform, you grant Binesty a license to use, store, process, and replicate your data as necessary to provide and improve Platform services, including analytics and integrations, subject to the Privacy Policy.

5.4. You are responsible for the accuracy and completeness of all data you provide.

5.5. Aggregated and anonymized data may be used for insights and service improvements without identifying you.

6. Transactions and Commercial Activities

6.1. The Platform facilitates connections between users but does not guarantee the completion of any transaction.

6.2. All commercial transactions are between users, and Binesty is not a party to such transactions.

6.3. You are responsible for verifying the identity and reliability of other users before engaging in transactions.

6.4. Binesty does not guarantee the quality, safety, or legality of products or services offered by users.

6.5. Payments and financial services, where available, are provided by integrated payment processors subject to their terms.

7. Intellectual Property

7.1. The Platform, including its design, features, and functionality, is owned by Binesty and protected by intellectual property laws.

7.2. You may not copy, modify, distribute, or create derivative works based on the Platform without Binesty's written permission.

7.3. The Binesty name, logo, and trademarks are the property of Binesty.

8. Privacy, Data Protection, and Data Retention

8.1. Your use of the Platform is also governed by our Privacy Policy.

8.2. We collect and process personal data in accordance with applicable data protection laws.

8.3. We implement security measures to protect your data, but cannot guarantee absolute security.

8.4. Data Retention and Deletion: Upon account cancellation (Section 3.5) or after the deadline defined in Section 12.4, Binesty will delete your account and associated personal data, except where retention is required by law. Operational records may be retained in anonymized or aggregated form for compliance and auditing purposes without identifying you.

9. Service Availability

9.1. Binesty strives to maintain Platform availability but does not guarantee uninterrupted or error-free service.

9.2. We may perform maintenance, updates, or modifications that may temporarily affect Platform availability.

9.3. Binesty reserves the right to suspend or terminate access to the Platform at any time, with or without notice.

10. Limitation of Liability

10.1. To the maximum extent permitted by law, Binesty shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.

10.2. Binesty's total liability shall not exceed the amount you paid to Binesty in the twelve (12) months preceding the claim.

10.3. Binesty is not responsible for losses resulting from:

User errors or negligence
Technical failures beyond our control
Actions of other Platform users
Force majeure events

11. Indemnification

You agree to indemnify and hold harmless Binesty, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws or regulations

12. Modifications to Terms

12.1. Binesty reserves the right to modify these Terms at any time.

12.2. When significant changes are made, we will notify you and require acceptance of the new Terms before continued use of the Platform.

12.3. Continued use of the Platform after notification of changes constitutes acceptance of the modified Terms.

12.4. You will have a period of twelve (12) months from the notification date to accept the modified Terms. If you do not accept within this period, your account and associated data will be deleted from the system, subject to legal retention requirements (see Section 8.4).

13. Termination

13.1. You may terminate your account at any time directly through the Platform or by contacting Binesty support.

13.2. Binesty may suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.

13.3. Upon termination, your right to use the Platform will immediately cease.

13.4. Provisions that by their nature should survive termination will remain in effect.

14. Dispute Resolution

14.1. These Terms are governed by the laws of the jurisdiction where Binesty operates.

14.2. Any disputes arising from these Terms or your use of the Platform shall be resolved through good faith negotiation.

14.3. If negotiation fails, disputes shall be resolved through binding arbitration or in the competent courts.

15. General Provisions

15.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.2. These Terms constitute the entire agreement between you and Binesty regarding the Platform.

15.3. Binesty's failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4. You may not assign or transfer your rights or obligations under these Terms without Binesty's written consent.

15.5. Eligibility: You represent that you are of legal age to enter into these Terms and use the Platform in your jurisdiction.
